Portfolio of Grand Avenue Investments LP, a Delaware Series Limited Partnership

Series 1:  Title Arbitrage Group (TAG)- Investment closing date May 2018. TAG acquires oil & gas assets that ultimately will be of strategic value to larger oil & gas producers.  Both of its strategies (Title Challenge and Block Aggregation) leverage the management team's expertise and experience in mineral rights title and leasing.

 

Series 2:  LBI Opportunity Fund- Investment closing date September 2018- This Series invests substantially all its assets into various real estate partnerships managed by architect and homebuilder, Michael Pagnotta (Ship Bottom, NJ).  The purpose of the Pagnotta-managed partnerships is to acquire property on Long Beach Island, NJ upon which to construct new summer homes for sale.  The Grand Avenue management team oversees asset allocation and investment decision making on this investment portfolio. This is the fourth investment we have made with the architect and builder Michael Pagnotta. (The first three were made by OTAF LLC).

 

Series 3:  Opportunistic Yield Fund I- Investment closing date January 2019- This Series invests substantially all of its assets in private debt and debt-like instruments.  The Grand Avenue management team, in partnership with Larry Bernstein of EV Private Investments LLC (Boca Raton, FL), oversees all asset-allocation and investment decisions for this Series.  The Fund has two classes:  Senior Class A, which receives a straight 10% annual net preference, and Junior Class B, which represents the equity class.

 

Series 4:  The overview of Series 4 has been withheld for regulatory reasons while GAA completes an offering of limited partnership interests in the Series.

 

Series 5:  Sandhill Advanced Biofuels LLC (SAB)- Investment closing date March 2019. SAB is an operating company that plans, finances, installs and manages biogas collection, filtration, and injection projects across the Midwest United States. SAB has contracted with dairy farms to purchase biogas from dairy digesters, clean/upgrade that gas, and then inject the cleaned/upgraded gas into the national natural gas grid. Combined with a sale/offtake agreement from an industry counterparty, SAB intends to capitalize on the sizable RINs (renewable information numbers) and LCFS (low carbon fuel standard) energy credits available to companies selling renewable gas in California. The Grand Avenue management team controls the sole investing member vote which is required for major corporate decisions at SAB.

 

Series 6:  EVPI Venture Equity Fund III- Investment closing date October 2019. The Venture Equity Fund was formed by its investment manager to make investments in accelerator funds as well as direct investments in various start‐up and early‐stage companies. A significant portion of the projected appreciation is expected to be in the form of tax‐exempt qualified small business stock (QSBS) capital gains, enhancing the after-tax returns.

Series 7:  Gameplan Tribal Ventures I- Investment closing date November 2019. GamePlan is an operating company that provides consulting services to Native America tribes for securing federal grant and loan financing for infrastructure and facilities projects.  These grants and loans will be used to modernize infrastructure on Native American tribal and trust lands under Gameplan’s planning, construction and oversight.  The Grand Avenue management team oversees asset allocation with respect to the ongoing process of providing debt capital for the various phases of GamePlan's client backlog.

 

Series 8: EVPI Distressed Equity Fund- Investment closing date June 2020. The Distressed Equity Fund was formed on April 1, 2020 to take advantage of venture‐related investment opportunities created by the economic fallout of the COVID‐19 crisis. The Distressed Equity Fund has made, and will continue to make opportunistic equity or debt investments in start‐up and early‐stage companies (“Underlying Companies”) and equity investments in investment funds, managed by affiliated and unaffiliated managers, that invest in startup and early‐stage companies (“Underlying Funds”).

Series 9 & 9B: Ortus Climate Mitigation, LLC- Investment closing date July 2020 and October 2020.- OCM intends to build a geographically diverse portfolio of renewable-energy projects that may include, inter alia, On‐shore Wind Power, Solar PhotoVoltaics, Pumped Hydro, Micro‐Grid (Combined Heat & Power (CHP)) and Energy Storage & Management. OCM’s near‐term focus is on the development of a portfolio of six wind power projects in Italy with combined production capacity of 429 MW (the “Italian Wind Portfolio”). The capital provided to OCM by Series 9 and 9B has been utilized for initial equity capital for the Italian Wind Portfolio, research & development of projects in Italy and other jurisdictions, general corporate overhead of OCM.

Series 10:  Shorelife Capital Management, LLC- Investment closing date April 2021. Shorelife a fund-of-one hedge fund managed exclusively for Series 10 by Gary Anderson of Pelican Capital Management, LLC (West Palm Beach, FL).  The Pelican trading team employs two trading strategies - a VIX statistical arbitrage strategy and a dividend capture options strategy - for Shorelife.

Series 11: EVPI Venture Equity Fund IV- Investment closing date April 2021. EVPI Venture Equity Fund IV, a fund focused on investing in accelerator funds as well as direct investments in early-stage companies.  The fund is managed by Larry Bernstein, the managing member and chief investment officer of EV Private Investments LLC (Boca Raton, FL).  The principals of Grand Avenue Advisors LLC are members of Larry Bernstein Holdings LLC, the parent of EV Private Investments LLC.

Portfolio of Grand Avenue Investments OZF LP, a Delaware Series Limited Partnership

Series 1:  LargaVista Edkins - Investment closing date December 2019.  Formed to acquire, remediate, develop and operate a nine-acre industrial storage property located at 2239-2319 Richmond Terrace in Staten Island, NY.  The Project is managed by LargaVista Companies, a second-generation real estate development, investment and management firm based in New York City.  This Fund has been organized as a Qualified Opportunity Fund ("QOF") and intends to qualify for the tax benefits afforded to QOFs.
